These terms apply as published on the date a client signs. Cucumber & Company may revise these terms; revisions apply to new agreements from their effective date and do not change the terms a client has already signed.
Please carefully read these terms and conditions before using Cucumber & Company’s services. By employing our services, you agree to the following terms and conditions.
LABOR BILLING
The standard hourly rate for labor and travel (unless otherwise specified in writing) is $125 per person, per hour.
Standard travel time is billed at $125 per hour.
All political campaign work is due at the signing of the contract.
All prices do not include sales tax. A 7% tax will be added unless a valid tax exemption document is provided.
A $50 fee will be charged for any returned check or failed ACH withdrawal.
SEPARATE PRODUCTS AND SEPARATE CANCELLATION
Website care plans, domain registration and management, and business email are three separate products. Each is billed on its own invoice and each is cancelled separately.
Cancelling one does not cancel the others. If a client cancels a website care plan, any domain management and any business email mailboxes continue in service and continue to be billed until the client cancels those products separately, in writing, to web@cucumberand.co.
Each product has its own cancellation process. Domain instructions must follow the Domain Name Management section below. Business email must be cancelled in writing and takes effect at the end of the current billing period. Cucumber & Company will confirm each cancellation in writing, and a cancellation is not effective until that confirmation is sent.
WEBSITE BUILDS AND ONE-TIME FEES
A website build and a care plan are separate products with separate charges. The build is a one-time fee. The care plan is billed monthly under the Website Monthly Packages section below.
Starter Build. No build fee. A Starter Build requires an Essential care plan or higher and includes five main pages built on a template. A sitemap page, a terms page and a privacy page are included and do not count toward the five.
Pro Build. $2,000. One thousand dollars is due at signing, and one thousand dollars is due at launch or ninety days from the date of signing, whichever comes first. A Pro Build includes up to fifteen custom-designed pages and Google Business Profile setup at no additional charge.
Custom Build. Quoted in writing at $125 per hour against an agreed scope. Fifty percent is due at signing and fifty percent is due at launch. A Custom Build requires a Standard care plan or higher.
Site migration. $250 to move an existing website to Cucumber & Company servers, including domain, DNS and SSL.
The amount due at signing is non-refundable. This applies to the first one thousand dollars of a Pro Build and to the fifty percent deposit on a Custom Build. It is committed to the client’s project on the day it is paid and it is not returned if the client later chooses not to proceed.
“Launch” means the client has approved the website and the client’s care plan is determined and in place.
Content and materials. Cucumber & Company will request the words, images and information needed to build the site. If the client has not supplied them within sixty days of signing, the request is closed and the build proceeds with the material on hand. Closing the content request does not change the payment schedule. The balance on a Pro Build remains due at launch or ninety days from signing, whichever comes first.
Work stops on unpaid accounts. No further production is performed while an account is past due. Any delay caused this way extends the launch date by the length of the delay.
Sales tax. All build fees are subject to 7% West Virginia sales tax unless a valid tax exemption document is provided. This includes the balance due at launch.
WEBSITE MONTHLY PACKAGES
Website billing begins once Cucumber & Company receives the signed Website Agreement. Clients will receive a prorated invoice or sales receipt for the first month of service. Regular billing begins on the first day of the following month.
Invoices and sales receipts are paperless and will be sent to the billing email address provided.
Clients enrolled in autopay will have payments drafted on the first of each month. Domain renewals are billed annually. Clients must promptly notify Cucumber & Company of any changes to billing contact information or payment methods. Autopay can also be activated through the QBO invoice link provided.
Clients who do not use autopay have 30 days to pay invoices in full. Delinquent accounts may result in service interruption. Cucumber & Company will attempt to contact the client before suspension, but the client is responsible for maintaining valid payment information.
Care plans are month-to-month. There is no minimum term. Either party may end a care plan by giving 30 days written notice before the next billing date. This applies to every plan, including plans that include a Starter Build provided at no charge.
Upon termination, the website and all associated content hosted by Cucumber & Company will be removed from our servers no earlier than 30 days after the service end date. Clients retain ownership of content and materials they provided and may request a copy of that content before removal. Proprietary design elements, code, software and licenses developed by Cucumber & Company are not transferable unless agreed in writing, except as set out above for a Pro Build or Custom Build where the client has paid the signing deposit.
Under no circumstances will Cucumber & Company grant administrative access to its hosting servers or backend CMS systems.
Cucumber & Company reserves the right to terminate this agreement at any time with 30 days’ written notice and to seek legal action for unpaid services.
SERVICE PROVISION
Cucumber & Company provides full-service website design, hosting, and maintenance for visually appealing, user-friendly websites.
Development begins once Cucumber & Company has received the initial payment, the completed project questionnaire, and the content the client is responsible for supplying. For builds with no separate build fee, the initial payment is the prorated first month of the care plan.
Cucumber & Company will deliver a first prototype within 15 business days of receiving the last of those three items. Build work is scheduled only after all three are received; until then, no delivery timeline applies. Delays in client content submission extend that timeline.
If the questionnaire and content have not been received within 60 days of signing, the build request is closed. The client may reopen it at any time while their care plan is active, at which point the timeline starts fresh from the date both items are received.
Once final approval is received from both parties, the website is considered live. Any future edits or support requests must be submitted by email to web@cucumberand.co. Requests made through text, phone, or social media are not accepted.
Response times are set by the client’s care plan tier and are stated in that plan. Response time means the time within which Cucumber & Company will acknowledge a request and tell the client when it will be completed. It does not mean the request will be finished in that time. Standard content updates are typically completed within three business days of acknowledgment; complex changes may require more time and will be scheduled with the client. Cucumber & Company is not responsible for delays caused by incomplete or incorrectly submitted requests.
Cucumber & Company websites are hosted exclusively on our servers. For a Starter Build, or for any site with no separate build fee, Cucumber & Company retains ownership of all proprietary design elements, code, software, and licenses. For a Pro Build or Custom Build, ownership of the design elements and code developed for that build transfers to the client once the signing deposit is paid. Clients retain ownership of any content or materials they provide.
E-COMMERCE
E-commerce websites require client participation in operations and typically use third-party plugins and payment processors. Plugin and gateway rates are billed annually and are subject to change. Cucumber & Company will assist with initial setup and integration for up to five products. Additional product uploads, data entry, or photography are billed separately.
Cucumber & Company is not responsible for managing store inventory, orders, or sales, and does not guarantee business success or revenue performance.
ADDITIONAL FUNCTIONALITY AND SERVICES
Third-party vendors may be used for certain features or services such as plugins, photography, videography, or copywriting. These expenses are not included in standard website packages and will be estimated separately as needed.
CONTENT CREATION
Artificial intelligence tools may be used during initial content creation. All content must be reviewed and approved by the client before publishing to ensure accuracy and relevance.
SEO
Basic SEO setup is included with standard website services. Advanced SEO is available for an additional fee. While Cucumber & Company employs proven optimization methods, we do not guarantee specific search engine rankings or performance results.
DOMAIN NAME MANAGEMENT
If domain management is selected, Cucumber & Company will manage the client’s domain through our registrar account. This includes renewal, DNS maintenance, and uptime monitoring. The client retains ownership of the domain name if their account is current.
Clients who choose to manage their own domains assume full responsibility for renewal, DNS settings, and any downtime resulting from misconfiguration.
Upon website cancellation, clients must specify in writing whether they wish to (1) cancel domain registration, (2) continue domain management only, or (3) transfer the domain to another provider. If the client gives no written instruction, domain management continues and continues to be billed annually at the current rate. Cancelling a website care plan does not cancel domain management. Transfers require a signed domain release agreement authorizing Cucumber & Company to release the domain.
EMAIL AND OFFICE TOOLS
Cucumber & Company resells professional email and office suite services on a per-user basis. Pricing is subject to change in accordance with provider rates.
Business email is billed per mailbox, per month, on its own invoice. Mailboxes may be cancelled in writing to web@cucumberand.co and cancellation takes effect at the end of the current billing period. Cancelling a website care plan does not cancel mailboxes.
When a mailbox is cancelled, the client is responsible for exporting any mail they wish to keep before the cancellation date. Cucumber & Company cannot recover the contents of a mailbox after the provider has closed it.
VIDEOGRAPHY AND PHOTOGRAPHY SERVICES
Videography and photography services are billed at $125 per person, per hour. Shoots outside Beckley, WV add travel time at $125 per hour and mileage at the current IRS standard rate. Travel costs are confirmed with the client before the shoot date.
LIMITATION OF LIABILITY
Cucumber & Company is not liable for indirect, incidental, or consequential damages resulting from website downtime, data loss, or third-party software issues. Total liability for any claim shall not exceed the total amount paid by the client for the affected service.
POLICY UPDATES
Cucumber & Company may update or revise these terms and conditions. Revisions are published with a new version number and effective date, and apply to agreements signed on or after that date. A client’s signed agreement is governed by the version in effect on the day they signed it.
